By accessing, using, or registering for B:Side Assist (the “Platform,” “Service,” or “BSideAssist”), operated through the domain bsideassist.ai, you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms,” “Agreement,” or “TOS”). If you are using the Platform on behalf of an organization, business, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and “you” and “your” shall refer to such entity.
1.2 Eligibility
You must be at least 18 years of age and have the legal capacity to enter into contracts to use the Platform. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are accessing the Platform on behalf of a business entity, you further represent that such entity is validly existing and in good standing under the laws of its jurisdiction of formation.
1.3 Modification of Terms
We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email to the address associated with your account. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
2. DEFINITIONS
For purposes of these Terms, the following definitions apply:
- “Account”: Your user account created through the Platform's registration process
- “AI Models”: The artificial intelligence and machine learning models utilized by the Platform, as detailed in Section 5
- “Banking Data”: Financial information obtained through Plaid integration, including account balances, transaction history, and institution information
- “Content”: All information, data, text, messages, files, images, or other materials uploaded, submitted, or transmitted through the Platform
- “Documentation”: PDF files and other documents uploaded for parsing and analysis
- “Personal Information”: Information that identifies or can be used to identify you as defined under applicable privacy laws
- “Premium Features”: Enhanced functionality available to premium tier subscribers
- “Third-Party Services”: External services integrated with the Platform as listed in Section 4
3. DESCRIPTION OF SERVICES
3.1 Platform Overview
B:Side Assist is an AI-powered financial management platform designed for small businesses. The Platform provides tools and services for financial analysis, transaction monitoring, document intelligence, and business insights through the integration of banking data and artificial intelligence technologies.
3.2 Core Features
The Platform currently offers the following features and functionalities:

- OAuth-based bank account linking through Plaid
- Read-only access to financial accounts and transactions
- Real-time transaction synchronization via webhooks
- Support for multiple financial institutions
- Automated balance monitoring and updates
3.2.2 AI Assistant Services
- Conversational chatbot utilizing multiple AI models
- Financial question answering and analysis
- Code execution capabilities for complex calculations
- Web search functionality for live market data
- Persistent conversation history
3.2.3 Document Intelligence
- PDF upload and parsing with multiple accuracy modes
- Structured data extraction from invoices, receipts, and contracts
- Retrieval Augmented Generation (RAG) for document Q&A
- Automatic embedding generation for semantic search
- Document portfolio analysis
3.2.4 Anomaly Detection
- Machine learning-based transaction analysis using Isolation Forest algorithms
- Per-user model training and versioning
- Feature extraction including amount patterns, timing, merchant frequency
- Risk level classification (low/medium/high)
- Duplicate transaction detection

- Category-based spending analysis

3.3 Service Availability
The Platform is provided on an “as-is” and “as-available” basis. We do not guarantee uninterrupted or error-free operation of the Service. Scheduled maintenance, updates, and unforeseen technical issues may result in temporary service interruptions.
4. THIRD-PARTY SERVICE INTEGRATIONS
4.1 Disclosure of Third-Party Services
The Platform integrates with and relies upon the following third-party services. Your use of the Platform constitutes acceptance of data sharing with these services as described below:

4.2 Third-Party Service Disclaimers
You acknowledge and agree that:
- The Platform's functionality depends on the availability and proper operation of these third-party services
- We are not responsible for any interruption, degradation, or failure of third-party services
- Each third-party service is governed by its own terms of service and privacy policy
- We do not control and are not responsible for the data handling practices of third-party services beyond our selection and configuration of such services
5. ARTIFICIAL INTELLIGENCE DISCLOSURES
5.1 AI Models Utilized
The Platform uses multiple AI systems and providers. The specific models may change over time as we improve quality, safety, and reliability.
Chat and General Purpose Models:
- openai/gpt-oss-120b: Default model for planning, code generation, and detailed explanations
- openai/gpt-oss-20b: Secondary model for resilient fallback and support tasks
- llama-3.3-70b-versatile: Tertiary model for additional fallback coverage
Specialized Function Models:
- Exa Search API: Primary provider for web search retrieval
- Tavily Search API: Fallback web search provider for resilience
- compound-beta (Groq): Web search + synthesis for certain research workflows
- E2B: Sandboxed code execution for advanced calculations
Machine Learning Models:
- Isolation Forest: Custom implementation for anomaly detection, trained individually per user
5.2 AI Capabilities and Limitations

5.2.2 Limitations and Disclaimers
- Not Financial Advice: All AI-generated content is for informational purposes only and does not constitute financial, investment, tax, or legal advice
- Accuracy: AI models may generate inaccurate, incomplete, or misleading information (“hallucinations”)
- Training Data Cutoff: Models are trained on data up to various cutoff dates and may not reflect current information
- Context Limits: Each model has token limitations that may affect processing of large documents or lengthy conversations
- Bias: AI models may reflect biases present in their training data
- No Guarantee: We make no warranties regarding the accuracy, reliability, or completeness of AI-generated content
5.3 User Responsibilities Regarding AI
You agree to:
- Independently verify all AI-generated insights and recommendations
- Not rely solely on AI outputs for critical business decisions
- Review and validate AI-detected anomalies before taking action
- Understand that AI features are tools to assist, not replace, human judgment
- Report any concerning or obviously incorrect AI outputs
6. USER REGISTRATION AND ACCOUNTS
6.1 Account Creation
To access the full features of the Platform, you must create an account by providing:
- Valid email address
- First and last name
- Business information (if applicable)
- NAICS code (if applicable for business classification)
- Other information as requested during registration
6.2 Account Security
6.2.1 Authentication
- The Platform uses email and password authentication and may use one-time email verification codes during registration or sensitive account actions
- Verification codes are 6 digits and expire after 10 minutes
- Sessions are maintained using authentication tokens stored securely in your browser
6.2.2 User Obligations
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized use of your account
- Ensuring your email account remains secure
- Updating your account information to keep it accurate and current
6.3 Account Types
The Platform currently supports the following account types:
- Standard Account: Basic access to Platform features
- Premium Account: Enhanced features and capabilities (details to be determined)
6.4 Profile Information
Your user profile may include:
- Personal identification information
- Business details (stored as JSONB)
- Profile image (stored as base64 encoded data)
- NAICS code for business classification
- Premium status indicator
- Member since date
- Last login timestamp
- Plaid user token for banking connections
7. DATA COLLECTION AND PRIVACY
7.1 Information We Collect
The Platform collects information you provide directly, information generated through your use of the Platform, and (if you connect third-party services) information received from those services (for example, banking data via Plaid). For additional detail, please review our Privacy Policy.
- Account information: email address, name, and business profile details you provide
- Connected financial data: account metadata, balances, and transactions from connected accounts
- Communications: chat messages, support requests, and feedback you submit
- Documents: files you upload and derived data needed for document search/Q&A
- Derived analytics: categorization, anomaly detection signals, and other computed insights
- Usage and security data: session identifiers and logs for security, debugging, and abuse prevention
7.2 How We Use Information
We use collected information to:
- Provide and maintain Platform services
- Process and analyze financial transactions
- Train and improve machine learning models
- Generate personalized financial insights
- Send transactional emails and alerts
- Respond to support requests
- Comply with legal obligations
- Improve Platform functionality and user experience
7.3 Data Security
We implement security measures including:
- Row-Level Security (RLS) enabled with policies restricting users to their own data
- HTTPS encryption for data in transit
- Secure storage of authentication tokens
- Masked account numbers (showing only last 4 digits)
- Environment-based configuration separation
- Regular security assessments and ongoing remediation of identified issues
7.4 Data Sharing
We share your data only:
- With third-party services listed in Section 4 as necessary for Platform operation
- When required by law or legal process
- With your explicit consent
- In connection with a merger, acquisition, or sale of assets (with notice)
- To protect the rights, property, or safety of B:Side Assist, our users, or others
8. BANKING DATA AND FINANCIAL INFORMATION
8.1 Plaid Integration
By connecting your bank accounts through Plaid, you:
- Authorize read-only access to your financial accounts
- Understand that we receive account and transaction information
- Acknowledge that account numbers are masked for security
- Agree to Plaid's End User Services Agreement
- May revoke access at any time through Platform settings
8.2 Financial Data Usage
Your banking data is used exclusively for:
- Displaying account balances and transaction history
- Analyzing spending patterns and trends
- Detecting anomalies and unusual transactions
- Generating financial insights and recommendations
- Creating alerts based on account activity
- Training user-specific machine learning models
8.3 Financial Services Disclaimer
IMPORTANT: B:Side Assist is not:
- A licensed financial advisor
- A registered investment advisor
- A broker-dealer
- A bank or credit union
- Licensed to provide investment advice
- Authorized to execute financial transactions on your behalf
All financial information and insights provided are for informational purposes only and should not be construed as financial, investment, tax, or legal advice.
8.4 Transaction Data
The Platform:
- Synchronizes transactions via Plaid webhooks
- Categorizes transactions automatically
- Stores transaction history indefinitely unless deleted
- May cache transaction features for performance
- Uses transaction data for anomaly detection
- Excludes certain transaction types (loans, payroll, credit cards) from specific analyses
9. USER RESPONSIBILITIES AND CONDUCT
9.1 Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:
9.1.1 Prohibited Activities
- Violate any applicable laws, regulations, or third-party rights
- Upload viruses, malware, or harmful code
- Attempt to gain unauthorized access to Platform systems
- Interfere with or disrupt Platform operations
- Reverse engineer, decompile, or disassemble the Platform
- Use automated systems or software to extract data (except as permitted)
- Impersonate another person or entity
- Upload false, misleading, or fraudulent information
- Use the Platform for illegal financial activities
- Circumvent any security features or access controls
9.1.2 Content Standards
- Provide accurate business and financial information
- Upload only legitimate business documents
- Ensure uploaded content does not violate third-party rights
- Maintain appropriate confidentiality of financial data
- Report suspicious or unauthorized activities promptly
9.2 User-Generated Content
9.2.1 License Grant
By uploading or submitting Content to the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and analyze such Content solely for providing Platform services.
9.2.2 Content Representations
You represent and warrant that:
- You own or have rights to all Content you upload
- Your Content does not infringe third-party rights
- Your Content is accurate and not misleading
- You have necessary consents for any personal information in Content
9.3 Business Information
If using the Platform for business purposes, you agree to:
- Provide accurate NAICS codes and business classifications
- Maintain current business information
- Ensure you have authority to bind your business
- Comply with all applicable business regulations
- Not misrepresent your business status or operations
10. INTELLECTUAL PROPERTY RIGHTS
10.1 Platform Ownership
The Platform, including all software, design, text, images, and other content (excluding User Content), is owned by B:Side Assist or its licensors and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.
10.2 Limited License to Use
Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes.
10.3 Trademark Rights
“B:Side Assist,” “BSideAssist,” and associated logos are trademarks of the Platform operator. You may not use these marks without express written permission.
10.4 Feedback and Suggestions
Any feedback, suggestions, or ideas you provide regarding the Platform become our property and may be used without compensation or attribution to you.
10.5 Third-Party Intellectual Property
The Platform integrates various third-party services and technologies. All third-party trademarks, service marks, and logos are the property of their respective owners.
11. PAYMENT TERMS AND MEMBERSHIP TIERS
11.1 Membership Tiers
The Platform offers the following membership tiers:
- Free Tier: Basic access to Platform features (specific limitations to be determined)
- Premium Tier: Enhanced features and capabilities (pricing to be determined)
11.2 Payment Processing
Payment processing functionality is currently under development. When implemented:
- Payment terms will be clearly disclosed
- Billing will be recurring based on selected tier
- Cancellation policies will be provided
- Refund policies will be established
12. DISCLAIMERS AND LIMITATIONS OF LIABILITY
12.1 Service Disclaimer
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
12.2 No Financial Advice
THE PLATFORM DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE. ALL INFORMATION, INSIGHTS, AND RECOMMENDATIONS ARE FOR INFORMATIONAL PURPOSES ONLY. CONSULT QUALIFIED PROFESSIONALS FOR ADVICE SPECIFIC TO YOUR SITUATION.
12.3 Third-Party Services
WE ARE NOT RESPONSIBLE FOR THE AVAILABILITY, ACCURACY, OR PERFORMANCE OF THIRD-PARTY SERVICES INTEGRATED WITH THE PLATFORM. INTERRUPTIONS OR FAILURES OF THIRD-PARTY SERVICES MAY AFFECT PLATFORM FUNCTIONALITY.
12.4 AI Limitations
AI-GENERATED CONTENT MAY CONTAIN ERRORS, INACCURACIES, OR MISLEADING INFORMATION. WE MAKE NO WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF AI OUTPUTS. USERS MUST INDEPENDENTLY VERIFY ALL AI-GENERATED INSIGHTS.
12.5 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- OUR LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM
- WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- WE SHALL NOT BE LIABLE FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- WE SHALL NOT BE LIABLE FOR DECISIONS MADE BASED ON PLATFORM INFORMATION
12.6 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
13. BETA SOFTWARE DISCLOSURE
13.1 Development Status
THE PLATFORM IS CURRENTLY IN BETA RELEASE STATUS. As a beta product:
- The Platform is in active development with ongoing feature additions and improvements
- Security vulnerabilities may exist and are being proactively identified and remediated by our development team
- Features, functionality, and system architecture are subject to change without notice
- Performance and stability may vary as we continue optimization efforts
- The Platform is undergoing continuous testing and enhancement
13.2 Beta Risks
By using the Platform during beta, you acknowledge:
- Features may change, be removed, or not function as intended
- Data loss or corruption is possible
- Security vulnerabilities may exist
- Service interruptions are likely
- The Platform is not ready for mission-critical use
- Documentation may be incomplete or outdated
13.3 Beta Feedback
We encourage beta users to:
- Report bugs and security issues promptly
- Provide feedback on features and functionality
- Understand that reported issues may not be immediately resolved
- Not rely solely on the Platform for critical business operations
14. INDEMNIFICATION
14.1 User Indemnification
You agree to indemnify, defend, and hold harmless B:Side Assist, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from:
- Your violation of these Terms
- Your violation of any third-party rights
- Your use or misuse of the Platform
- Your Content or information you provide
- Your business activities or operations
- Any unauthorized access to your account
14.2 Procedure
We will:
- Promptly notify you of any claim subject to indemnification
- Allow you to control the defense or settlement (with our approval)
- Provide reasonable cooperation in the defense
15. DATA RETENTION AND DELETION
15.1 Active Data Retention
The Platform retains:
- User Profiles: Indefinitely until account deletion requested
- Transaction Data: Indefinitely (synchronized from Plaid)
- Conversations: Retained while your account is active (unless deleted)
- Anomaly Models: All versions retained for model improvement
- Transaction Features: Cached derived data maintained for performance and analytics
- Alert History: Historical alert activity retained to provide auditability
15.2 Cached Data Expiration
- Financial Insights: 24-hour expiration with automatic refresh
- Document Embeddings: No automatic expiration
- OTP Codes: 10-minute expiration with automatic deletion
- Session Cookies: 30-day expiration
15.3 Data Deletion Rights
You may request deletion of your personal data by contacting support. Note that:
- Some data may be retained for legal compliance
- Aggregated or anonymized data may be retained
- Backup systems may retain data temporarily
- Financial records may be subject to retention requirements
16. TERMINATION
16.1 Termination by You
You may terminate your account at any time by:
- Submitting a deletion request through the Platform
- Contacting support at verification@bsideassist.ai
- Removing Plaid connections to financial institutions
16.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms
- You provide false or misleading information
- Your account poses a security risk
- Required by law or legal process
- The Platform ceases operations
16.3 Effect of Termination
Upon termination:
- Your access to the Platform will be disabled
- Your data may be deleted (subject to legal requirements)
- Licenses granted to you terminate immediately
- Sections of these Terms that should survive will remain in effect
- You remain liable for any outstanding obligations
17. GOVERNING LAW AND DISPUTE RESOLUTION
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
17.2 Dispute Resolution
17.2.1 Informal Resolution
Before filing any formal proceedings, you agree to attempt to resolve disputes informally by contacting us at verification@bsideassist.ai. We will attempt to resolve the dispute informally for at least 30 days.
17.2.2 Binding Arbitration
If informal resolution fails, any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration shall be conducted in Delaware, and judgment on the award may be entered in any court of competent jurisdiction.
17.2.3 Class Action Waiver
YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS. DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY.
17.2.4 Exceptions
The following disputes are not subject to arbitration:
- Small claims court actions
- Injunctive relief for intellectual property violations
- Disputes that cannot be arbitrated under applicable law
17.3 Limitation Period
Any claim arising from these Terms must be brought within one year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
18. INTERNATIONAL USE AND COMPLIANCE
18.1 U.S. Operations
The Platform is operated from the United States and primarily intended for users in the United States. We make no representations that the Platform is appropriate or available for use in other locations.
18.2 Export Controls
You may not use, export, or re-export the Platform in violation of U.S. export laws and regulations or any applicable local laws in your jurisdiction.
18.3 International Users
If you access the Platform from outside the United States:
- You do so at your own initiative and risk
- You are responsible for compliance with local laws
- You consent to data transfer to the United States
- You acknowledge that data protection laws may differ
18.4 GDPR Considerations (European Union Users)
For users in the European Economic Area:
- We act as data controller for personal data
- Legal basis for processing includes contract performance and legitimate interests
- You have rights under GDPR including access, rectification, and deletion
- Data transfers utilize appropriate safeguards
- Contact us for data protection inquiries
18.5 AI Act Compliance (European Union)
The Platform's AI systems may be subject to EU AI Act requirements:
- We provide transparency about AI models used
- High-risk AI system considerations apply to financial analysis
- Users can request human review of AI decisions
- We maintain logs of AI system operations
19. MODIFICATIONS TO TERMS
19.1 Right to Modify
We reserve the right to modify these Terms at any time. Material changes will be communicated via:
- Email to registered users
- Platform notifications
- Prominent notice on the website
19.2 Acceptance of Changes
Your continued use of the Platform after changes constitutes acceptance. If you do not agree to modified Terms, you must discontinue use and terminate your account.
19.3 Version History
We maintain a record of Terms versions. You may request previous versions by contacting support.
20. MISCELLANEOUS PROVISIONS
20.1 Entire Agreement
